1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the websites, products, platforms, and services offered by SYNAPTIX LTD, a company registered in England and Wales (Company number 15812805) and located at 7 Bell Yard, London, WC2A 2JR, England (also operating under the brand name "SynaptyX") ("SynaptyX", "we", "our", or "us").

By using our Services, you agree to be bound by these Terms and any policies referenced herein (including our Privacy Policy and Cookies Policy). If you do not agree with any part of these Terms, you must immediately stop using the Services.

2. Definitions

  • Services: All software tools, web applications, APIs and products provided by SynaptyX, including SynStruct, SynHire, and any other tool that may be offered on SynaptyX Foundry in the future.
  • User/You: Any individual or entity accessing or using our Services.
  • Account Holder: A registered user with login credentials.
  • Candidate: An individual whose personal data is submitted, uploaded, or processed through SynHire by a User or Account Holder.
  • Content: Data, documents, or materials uploaded, submitted, or processed through our Services, including personal data of Users, Candidates, employees, contractors, or other third parties.

3. Acceptance of Terms

By using the Services, you confirm that you are at least 18 years old and legally capable of entering into binding agreements and are legally permitted to use the Services in your jurisdiction. If you use the Services on behalf of an organisation, company, employer or any other legal entity, you confirm that you are authorised to bind that organisation to these Terms and all other SynaptyX policies referenced herein.

4. Modifications

We may update these Terms periodically. Updated versions will be published on our website with a revised date. Continued access to or use of the Services after any such update constitutes the acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services immediately.

5. Use of Services

SynaptyX reserves the right to monitor usage patterns strictly for security, fraud prevention, system performance, compliance and operational integrity purposes. SynaptyX may suspend, restrict, or terminate access as necessary to maintain stability, ensure confidentiality and preserve system integrity. You agree to use the Services solely for lawful and authorised purposes and are in full compliance with all applicable local, national, and international laws and regulations.

You further agree that you will not:

  1. Upload, submit, or process any Content unless you have all necessary rights, consents, authorisations to do so, including where such Content contains personal data of Candidates, employees, contractors, or privacy rights of any third party.
  2. Attempt to reverse engineer, decompile, disassemble, replicate, or extract any part of the Service, including its source logic, algorithms, user interface, architectural design, workflows, or underlying model prompts.
  3. Engage in any security-compromising activities, such as model extraction, prompt injection, data poisoning, or other adversarial attacks, that are designed to compromise the Service or its underlying AI models.
  4. Use the Service or its outputs, workflows, prompts, or generated content to build, train, fine-tune, benchmark, improve, or develop any competing AI models, tools, or services.
  5. Engage in spam, scraping, load-testing, or automated usage that degrades Service performance or impacts other users.
  6. Misuse the Services to upload, transmit, distribute, or facilitate malware, harmful code, infringing or counterfeit materials, unlawful content, or any content that violates intellectual property, privacy, confidentiality, or data protection obligations.
  7. Use the Service for any illegal, discriminatory, or unethical activities.

SynaptyX reserves the right to suspend or terminate access if these Terms are violated or if any activity threatens the stability or integrity of the platform.

6. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials and preventing unauthorised use.
  • All access to and activities carried out through your account, whether authorised by You or not.
  • Ensuring that all Content uploaded, submitted, or processed through the Services complies with all applicable laws, regulations, contractual obligations, and internal organisational policies, including obtaining all necessary consents and lawful bases for uploading any personal data.
  • Ensuring that you have the necessary authorisations for transfer of all Content uploaded by you outside the UK/EU.

7. Payment, Credits, and Recharge Terms

  1. Payment Processing: All Payments are processed securely by Stripe, our authorised third-party payment processor. SynaptyX does not collect or store raw payment data. All payment transactions are subject to Stripe's own terms, Privacy Policy, and security controls.
  2. Credit System: Services operate on a pay-as-you-go credit model. Credits may be purchased and added to your account and will be automatically deducted based on your usage of the Services.
  3. Insufficient Credits: If your credit balance is insufficient for a requested task, the task will not be executed until additional credits are purchased.
  4. Expiry of Credits: Credits remain valid while your account is active.
  5. No Refund Policy: All purchases of credits are final and non-refundable. We do not offer refunds for purchased credits, unused credits, or any services rendered. By completing a credit purchase, you acknowledge and agree to this no-refund policy.
  6. Taxes: All prices exclude VAT and applicable taxes unless stated otherwise.
  7. Pricing Changes: SynaptyX reserves the right to update pricing prospectively with notice.

8. Data Privacy and Security

Your use of the Services is governed by our Privacy Policy and Cookies Policy. SynaptyX securely stores and processes user and candidate data in accordance with applicable data protection laws, including GDPR, UK DPA and the Indian DPDPA. All data is encrypted in transit and at rest, and access is strictly limited to authorised personnel and sub-processors bound by contract.

Cross-Border Data Processing:

Our Data processing activities are performed using third-party cloud and AI services that operate outside the UK/EU.

In particular:

  • The Services run on hyperscaler-managed cloud infrastructure with primary processing and storage in India.
  • AI model inference: Where third-party AI model providers are used, inference may be performed in global regions depending on the provider's infrastructure. We limit what is shared to what's necessary, apply contractual and technical safeguards, and do not allow providers to use your data to train their models.

Where such "restricted transfers" occur, SynaptyX implements appropriate safeguards under UK GDPR, including:

  • Standard Contractual Clauses (SCCs)
  • Transfer risk assessments
  • Contractual commitments from sub-processors

Users acknowledge that cross-border processing is essential for providing the Services.

We do not use any User or Candidate personal data for AI Training, commercialisation, or sharing such data with third parties for their independent purposes. Personal data is processed solely for the purpose of delivering the Services, and is not used for unrelated analytics, profiling, or automated decision-making beyond what is necessary to fulfil the User's instructions.

9. Intellectual Property

All intellectual property rights in and to the Services (including software, models, trademarks, and documentation) remain the exclusive property of Synaptix Ltd. No rights are granted to the user except as expressly set out in the Terms of Use.

Users retain ownership of any content they upload, but grant SynaptyX a limited, non-exclusive licence to process that content solely for the purpose of delivering the requested Service. SynaptyX acquires no ownership rights in Your Content.

SynaptyX grants you a limited, revocable, non-exclusive, and non-transferable licence to access and use the Services strictly for your internal business purposes, in accordance with these Terms. This licence does not permit you to resell, sublicense, distribute, or otherwise commercialise the Services or any outputs generated from them without SynaptyX's prior written consent.

10. Disclaimers

Our Services are provided on an "as is" basis. We do not guarantee uninterrupted, error-free operation or suitability for any purpose. SynaptyX disclaims all liability for inaccuracies or errors in AI-generated or processed data. Users are solely responsible for independently verifying and validating all results before relying on them for any business, financial, operational, legal, hiring, or decision-making purposes. SynaptyX expressly disclaims all liability arising from reliance on any AI-generated or processed outputs.

Service Availability

The Services are cloud-based and may occasionally experience downtime due to maintenance, upgrades, or unforeseen technical issues. While SynaptyX strives to ensure high availability and reliability, it does not guarantee uninterrupted or error-free operation. SynaptyX will make reasonable efforts to provide notice of scheduled maintenance where feasible. SynaptyX shall not be liable for any unavailability, downtime, loss of data, delays, or failures caused by third-party providers, internet disruptions, or circumstances beyond its reasonable control.

11. Limitation of Liability

To the fullest extent permitted by law:

  • SynaptyX shall not be liable for any direct, indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from or related to the use or inability to use the Services.
  • SynaptyX disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose and non-infringement.
  • Users acknowledge that SynaptyX provides the Services "as is" and "as available."
  • Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or any matter that cannot legally be excluded under the laws of England and Wales.

12. Service Usage Disclaimer

  1. AI-Generated Output: AI results may contain inaccuracies or omissions. SynaptyX tools are designed to assist, not replace, human judgment, expertise, or professional evaluation.
  2. User Validation: Users must review and verify all outputs before relying on them for financial, hiring, or compliance purposes.
  3. No Professional Advice: The outputs generated by the Services are intended to assist users and should not be considered professional advice, including legal, financial, hiring, or other similar matters. Users remain solely responsible for reviewing and validating all results before taking any action based on them.
  4. Use at Your Own Risk: Users accept all risks arising from reliance on AI-processed or generated outputs. SynaptyX shall not be liable for any decisions, actions, errors, or losses arising from reliance on such outputs.
  5. Service Changes: SynaptyX reserves the right to update or modify its Services without prior notice.

13. Indemnification

You agree to indemnify, defend, and hold harmless SynaptyX, its directors, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. Your access to or use of the Services, including any outputs, insights, or AI-generated content relied upon;
  2. Any Content, data, documents, or materials uploaded, submitted, or processed through Your account, including where such Content contains personal data of Candidates or other third parties;
  3. Breach of these Terms, the Privacy Policy, or any applicable policies;
  4. Your violation of any applicable law or third-party rights;
  5. Any claim arising from the unlawful, unauthorised, or incorrect uploading of personal data to the Services; and
  6. Any misuse, manipulation, or unauthorised distribution of outputs generated by the Services.

14. Termination

You may terminate your account at any time. SynaptyX may suspend or terminate access for violations of these Terms. Upon termination, rights under these Terms immediately cease.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
